SKB Bank and Nova KBM merge into OTP Bank

 

We are glad to inform you that SKB d. d. and NOVA KBM d. d. are expected to merge on 22 August 2024. The merger will proceed on that date only if all the required conditions for the merger will be met by that time. It is expected that on 1 September 2024, there will be changes in the operation of products for SKB Bank's clients.

Following the merger, the merged bank will be renamed to OTP banka d. d. You will be able to recognize it by the new logo, which we will gradually introduce at banking contact points. 

With the merger of the two banks all brands held by SKB banka will be transferred to OTP banka. The SKB banka logo will be gradually replaced with the new logo, which is why the logo of SKB banka will still appear in some places for a certain time after the merger.

We will do everything to make the merger as simple and seamless for you as possible.

With the planned merger of the two banks, we’re creating for you OTP banka that wishes to bring to life the vision of being the best bank in Slovenia and that will endeavour to provide the best products and services of both banks:  

  • The most accessible banking network in Slovenia, consisting of branch offices and ATMs of both SKB and Nova KBM, including the availability of some banking services at Post offices in Slovenia – a total of more than 900 banking points;
  • Free-of-charge cash withdrawals with your Visa debit card both in Slovenia and abroad at more than 4,000 ATMs of the majority of OTP Group members;
  • Access to the winner of the “Best digital bank in Slovenia” award for the fourth consecutive year: online bank Bank@Net and mobile bank mBank@Net;
  • Simpler and quicker access to products via the digital bank and Contact Centre – without having to visit the branch office;
  • Contactless payment option with mobile apps.

The changes will take effect on the dates indicated in this letter only if the banks merge on 22 August 2024. We will notify you beforehand of any change of dates.

Most important news about existing products held with SKB banka

  • You received all the essential novelties of the existing products in the attachment of the letter that we sent to all clients in June.
  • The number of your personal account and the personal account that you appear on as the legal representative or guardian will change as of 1 September 2024.
  • You and your authorized users will receive a new OTP banka Visa Debit card by mail by latest until August 2024. You can begin using your new card starting 1 September 2024.
  • Your Visa Credit card will remain valid until its expiration date.
  • As of 1 September 2024, the SKB NET online bank and MOJ@SKB mobile bank will be replaced by online bank Bank@Net and mobile bank mBank@Net. 
  • Most products will be transferred automatically, which means you do not need to do anything in this regard, unless specifically noted in the attachment to this letter.
  • We’re also attaching to this letter the document Information for depositors about the merger and the option to exercise rights under the deposit guarantee scheme, as the merger of SKB banka and Nova KBM may lead to some deposits held by depositors of both banks exceeding the guarantee threshold due to being combined into a single deposit.
     

Frequently asked questions

Since 2019, SKB d.d. has been part of the Hungarian OTP Group, which is one of the fastest growing banking groups in Central and Eastern Europe. In February 2023, Nova KBM also obtained all approvals and became a member of the OTP Group. After fulfilling all the required conditions for the merger, SKB d.d. and Nova KBM d.d. will merge on 22 August 2024. The merged bank will be called OTP banka d.d. The new name of the bank based in Ljubljana, Slovenska cesta 58, will also be visually represented by the changed logo.

The entry into force of the changes that you were informed about in the letter Important information regarding the merger of the subject banks and the future operations of the merged bank in June will take place on the specified dates only if the merger of the banks takes place on 22 August 2024. You will be notified about possible change in advance.  

This means that we will combine the products and services of both banks into a single offer, which is expected to be supported by a single technological platform as of September 2024.

The unification of the products and services of the two banks is planned for September 1, 2024.

OTP Bank will have an even more accessible and extensive banking network in Slovenia. An extended network of bank outlets will be at your disposal. Based on the strategic partnership with Pošta Slovenije, you will be able to carry out some banking services at all post offices in Slovenia – at a total of more than 900 bank points!

Users of digital services will be able to perform almost all banking services through:

  • new digital banks (Bank@Net online banks and mBank@Net mobile banks); 
  • mDenarnic@ mobile wallets and mobile applications from other providers.

At post offices, you can carry out banking transactions such as deposits, withdrawals, internal transfers, cash and non-cash payments of payment orders. You can sign up for new products, for instance opening personal accounts or packages, taking out deposits or savings, etc. However, you cannot open a personal account at the post office if you have a permanent residence abroad, sign up for Premium Package, a Private banking Package or a Basic payment account.

The existing Price list of services of SKB d.d. for the retail segment and the Price List for SKB Private Banking will be replaced by the Price List for transactions with consumers. The SKB Price list for dealing with investment funds and the Price list for trading in financial instruments for individual clients will be replaced by the Price list for fees and commissions in dealing with financial instruments. 

The new price lists will be available to you on the Bank's website and in all bank outlets by the end of June 2024 at the latest.

Please, inform yourself about the fees.

The General Terms and Conditions of SKB Bank for the Retail and the General Terms and Conditions for the Provision of SKB Private Banking services will be replaced by the General Terms and Conditions of Operations with Consumers. 

The General Conditions for Securities will be replaced by the OTP Bank's Rules for Dealing with Financial Instruments.
The new Schedule for the Execution of Payment Transactions and the Decision on Interest Rates also enter into force.

All the aforementioned legal acts will be available on the SKB Bank’s website and in all SKB Bank’s outlets by the end of June 2024 at the latest.

Yes, transfers of all banking transactions will be arranged free of charge. We will do everything to make the transition as easy as possible for you.

Upon the merger of the two banks, the individual deposits of SKB Bank and Nova KBM investors will be combined into a joint deposit, which may exceed the amount of the guaranteed deposit coverage amounting to 100,000 EUR. We informed you about this with the notice Information to investors on the merger and the possibility of exercising rights due to the merger of SKB d.d. and NOVE KBM d.d., from the deposit guarantee system, in June 2024, which was an annex to the notice Important information regarding the merger of the aforementioned banks and future operations in the merged bank.

If the total sum of your deposits in both banks after the merger exceeds the amount of the guaranteed deposit coverage, you as the investor, regardless of the contractual provisions, have the right to claim early termination of the contract (deposit), without additional costs, including all related interest and other benefits until the deposit payment date. You can submit a request to exercise the aforementioned right within a period of 3 months, which starts on the 5th day after the date of dispatch of the notification. The date of dispatch is indicated on the aforementioned notice.

No. Until the anticipated merger, SKB Bank and Nova KBM will continue to operate as separate legal entities and under the current brands or names and, as until now, provide existing services through normal sales channels, with the same level of professionalism and friendliness.

SKB banka will inform you about all the changes and important information through various channels throughout the merger process. 

Do not forget about security! The banks will never ask you to provide your online or mobile banking password by email or telephone and will never ask you for your card data, such as card number, date of validity, or code on the back of the card.

At post offices, you can perform all payment transactions, such as depositing and withdrawing funds and issuing payment orders. To perform payment transactions at post offices, the business account must have appropriate authorizations.

The existing Price list of payment services of SKB d.d. for domestic legal entities, professionals and Sole Proprietors will be replaced by the Price List of fees for transactions with legal entities, professionals and associations.

The SKB Price List for Dealing with Investment Funds and the Price List for Trading in Financial Instruments for legal entities will be replaced by the Price list for fees and commissions in dealing with financial instruments.

The new price lists will be available on the Bank's website by the end of June 2024 at the latest.

Please familiarize yourself with the new Price list of fees for transactions with legal entities, professionals and associations, as well as with the Price list of fees and commissions for dealing with financial instruments.

The current General Terms and Conditions that apply to the services you use will be replaced by the new General Terms and Conditions for performing payment services for legal entities, professionals and associations. 

The new General terms and Conditions will replace the following General Terms and Conditions that are currently in force:

  • General Terms and Conditions for Managing a Transaction Account and Performing Payment Services for Legal Entities, Professionals and Sole Proprietors;
  • General Terms and Conditions for Operations with Visa Business debit card and Visa Business Credit card;
  • General Terms and Conditions for the Use of Security SMS and Info SMS Service;
  • General Terms and Conditions for Renting safe deposit boxes;
  • General Terms and Conditions for the Use of Digital Banking for Legal Entities, Professionals and Sole Proprietors.

The General Terms and Conditions for Direct Debit SEPA for Recipients of Payments will be replaced by the General Terms and Conditions for SEPA Direct Debit for Recipients of Payments. The General Terms and Conditions for Securities will be replaced by the OTP Bank's Rules for Dealing with Financial Instruments.

The SKB’s General Terms and Conditions for Accepting Cards and Flik Instant Payments at the point of sale and/or via the Internet will be replaced by the General Terms and Conditions for Renting POS Equipment and Accepting payment cards and Flik Instant Payments.

The following documents also enter into force: the General Terms and Conditions for Cash Transactions and the Disposal of Funds, the General Terms and Conditions for the Use of Digitized Cards in Mobile Wallets of other providers, the Schedule for the Execution of Payment Transactions and the Decision on Interest Rates.

All the aforementioned legal acts will be available on the SKB Bank’s website and in all SKB Bank’s outlets by the end of June 2024 at the latest.
